THE WORKING AGREEMENT

Clear roles make better campaigns.

Natly organizes evidence and prepares drafts. Your organization controls its data, makes the decisions, and sends the message. These terms set that boundary in writing.

The short version: use Natly for lawful campaign work, upload only information you have the right to use, verify what matters, and keep a person in charge of every message. Natly provides tools—not fundraising, legal, privacy, or financial advice.

Agreement to these terms

These Terms of Service govern access to and use of Natly’s websites, hosted forms, campaign workspaces, research tools, drafting features, and related services. By creating an account, accepting an organization invitation, or using the service, you agree to these terms and the Privacy Policy.

If you use Natly for an organization, you represent that you are authorized to accept these terms for that organization. If you do not agree, do not use the service.

Accounts, organizations, and roles

You must provide accurate account information, protect your credentials, and promptly report suspected unauthorized access. You are responsible for activity conducted through your account unless caused by Natly’s breach of these terms.

Organization administrators control membership and assign roles such as administrator, reviewer, or sender. Organizations are responsible for ensuring each user has appropriate access and removing access when it is no longer needed. You may not share an account or use another person’s credentials.

What Natly provides

Natly helps organizations import and organize sponsor information, conduct and review company research, collect permissioned testimonial responses, evaluate campaign readiness, generate evidence-grounded drafts, and record sends made by the organization.

Features may change as the service develops. We may improve, add, remove, or limit features, provided we do not materially reduce a paid service during its then-current term without reasonable notice or a suitable remedy.

The control line: Natly may research and draft. A person approves and sends. Natly does not promise a donation, meeting, response, or campaign result.

Your responsibilities and acceptable use

You are responsible for your campaigns, recipients, messages, and compliance with applicable fundraising, privacy, marketing, intellectual-property, and child-protection laws. You must review drafts for accuracy, appropriateness, permission, and fit before using them.

You may not:

  • upload or use information you do not have a lawful right to process;
  • misrepresent a relationship, gift, quote, identity, outcome, or source;
  • use Natly for spam, unlawful solicitation, discrimination, harassment, deception, or surveillance;
  • attempt to bypass readiness, permission, role, plan, rate, or security controls;
  • probe, disrupt, reverse engineer, scrape, or access the service or another tenant’s data without authorization;
  • upload malware or highly sensitive data Natly does not request, including Social Security numbers, payment-card numbers, or protected health information.

We may investigate suspected misuse and restrict access when reasonably necessary to protect the service, users, respondents, or others.

Your content, research, and permissions

As between you and Natly, you retain ownership of content your organization submits. You grant Natly a limited, non-exclusive right to host, copy, organize, process, and display that content only as needed to provide, secure, support, and improve the service.

You represent that your organization has the rights and notices required to upload campaign records, invite testimonial respondents, process contact and donor information, and use any approved response. Natly’s consent workflow supports your process but does not replace your legal obligations.

Public-source research can be incomplete, outdated, or conflicting. You must review material facts before relying on them. Corrections may preserve prior versions for provenance and audit history rather than silently replacing them.

AI-generated material

Natly uses automated systems to classify information, assemble evidence, and prepare drafts. Although the product applies evidence gates and deterministic validation, automated output can still contain errors, omit context, or be unsuitable for a particular audience.

You remain responsible for reviewing and deciding whether to use any output. Do not treat Natly output as legal, tax, accounting, investment, safeguarding, or professional fundraising advice. Natly may refuse or lock output that fails validation.

Plans, usage, and payment

Paid plans, included usage, overages, campaign limits, billing frequency, renewal, cancellation, and refund terms will be presented at purchase or in an order form. Do not publish or rely on placeholder pricing until those commercial terms are finalized.

If payment is processed by a third party, its payment terms may also apply. Natly may limit new research or drafting when a plan, quota, or budget limit is reached. Past work may become read-only following expiration, cancellation, or nonpayment, subject to any export and deletion rights stated in the applicable order.

Suspension, termination, and data

You may stop using Natly at any time and may request workspace closure through the published support channel. We may suspend or terminate access for material breach, security risk, unlawful conduct, nonpayment, or conduct that threatens the service or others. When practical, we will provide notice and an opportunity to cure.

After termination, access may end immediately. Data export, retention, and deletion will follow the Privacy Policy, applicable order terms, legal requirements, and the production retention schedule. Sections that by their nature should survive—including ownership, payment obligations, disclaimers, liability limits, and general terms—will survive.

Disclaimers and limits

To the extent permitted by law, the service is provided “as is” and “as available.” Natly disclaims implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranty that the service will be uninterrupted, error-free, or produce a particular fundraising outcome.

To the extent permitted by law, Natly will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost donations, revenue, goodwill, data, or opportunities. A final liability cap, exclusions, and any organization-specific indemnity terms must be reviewed and completed by counsel before paid launch.

Some jurisdictions do not allow certain exclusions or limitations, so portions of this section may not apply.

General terms and contact

These terms, the Privacy Policy, and any applicable order form form the agreement between the parties. If an order form conflicts with these terms, the order form controls for that purchase. You may not assign the agreement without consent, except as part of a merger or sale of substantially all assets. Natly may assign it as part of a corporate transaction.

Neither party is liable for delay caused by events beyond reasonable control. If one provision is unenforceable, the rest remains effective. Failure to enforce a provision is not a waiver.

Launch details still required: governing law, venue or dispute process, finalized billing terms, and a counsel-approved liability framework. These should be decided and reviewed rather than guessed.
